Varcio Terms & Conditions

These Terms & Conditions govern access to and use of Varcio websites, hosted software, APIs, subscriptions, support services, and related commercial billing arrangements.

1. Acceptance, Scope, and Order of Precedence

These Terms & Conditions govern access to and use of the Varcio website, hosted applications, APIs, support channels, subscriptions, and related services, functionality, content, and software made available by Varcio. By accessing, browsing, registering for, or using any part of the service, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you access or use the service on behalf of an organization, you represent and warrant that you are duly authorized to bind that organization to these Terms, in which case the terms you and customer refer to that organization. If your organization has entered into a separate written master services agreement, order form, enterprise subscription agreement, or other written contract with Varcio, that written contract shall prevail to the extent of any inconsistency with these public Terms.

2. Eligibility, Accounts, and Authority

The service is intended for business and professional use by people aged 18 or over, and is not offered to children. You must provide complete, current, and accurate registration, identity, billing, and organization information and must update such information where necessary to keep it accurate. You are responsible for safeguarding credentials, authentication factors, API tokens, and workspace access controls associated with your account or organization tenancy.

  • You are responsible for all activity occurring under your account, organization tenancy, and authorized user base.
  • You must have lawful authority to connect cloud accounts, billing sources, data exports, APIs, and third-party systems to the service.
  • You must ensure that users accessing the service are duly authorized and subject to internal controls appropriate to the systems and data involved.
  • You must promptly notify Varcio of any actual or reasonably suspected unauthorized access, credential compromise, or misuse affecting the service.

3. Subscription Services, Fees, Taxes, and Payment Processing

Paid access is provided on the plan, billing interval, feature set, limits, and pricing presented at checkout or set out in the applicable order documentation. Unless expressly agreed otherwise in writing, subscription fees are billed in advance and are exclusive of applicable taxes, duties, withholding, and governmental charges.

  • Cloud-provider charges, data warehouse query costs, marketplace fees, and other third-party infrastructure charges are not included unless expressly stated.
  • Trials, promotional pricing, wallet balances, credits, and discount codes remain subject to the specific terms presented with the applicable offer or billing event.
  • Failure to make timely payment may result in suspension, downgrade, restriction of billing-sensitive functionality, or other access controls reasonably necessary to enforce payment obligations.

Any installment, financing, or card-conversion facility made available through a payment provider, bank, card network, or issuer is governed by the relevant third-party terms. Varcio is not a lender and does not determine provider-side approval, financing charges, settlement cycles, or issuer-side dispute rules.

4. Trials, Promotions, Credits, and Plan Changes

Varcio may, from time to time, offer free trials, promotional access, launch pricing, credits, wallet balances, or plan-specific incentives. Unless expressly stated otherwise, such offers are temporary, revocable, non-transferable, may be subject to eligibility criteria, and have no cash value.

Varcio may establish conditions relating to activation, expiry, forfeiture, billing-country restrictions, misuse prevention, post-trial transition, maximum redemption value, and combination with other offers. Plan upgrades, downgrades, renewals, and scheduled changes shall take effect in accordance with the pricing, proration, and timing rules presented in the product or applicable written order.

5. Acceptable Use and Restrictions

You must use the service only in compliance with applicable law, these Terms, your internal authorization policies, and any written documentation or technical restrictions provided by Varcio. The service may not be used in any unlawful, deceptive, abusive, fraudulent, or operationally unsafe manner.

  • You must not circumvent authentication, authorization, rate limits, audit controls, security controls, or billing controls.
  • You must not reverse engineer, decompile, scrape, copy, interfere with, or publicly benchmark the service except to the extent prohibited by applicable law.
  • You must not upload malicious code, stolen credentials, unlawful content, or data you are not authorized to collect, disclose, or process.
  • You must not use the service to conduct unauthorized cloud actions, unlawful surveillance, fraudulent activity, or unlawful data collection or export.

6. Customer Data, Integrations, and Service Output

The service processes account, billing, usage, telemetry, inventory, support, configuration, and connected system data as reasonably necessary to provide analytics, governance workflows, subscriptions, approvals, support services, fraud prevention, and product security.

You retain responsibility for the legality, accuracy, quality, and integrity of data you submit or make available through the service and for ensuring that you have all rights, permissions, notices, consents, and lawful bases required to do so. You further acknowledge that connected-system data may be processed in accordance with the workflows and analyses requested by your organization.

Where the service processes personal data contained in your content on your behalf, our Data Processing Agreement applies and forms part of these Terms. Personal data that Varcio collects about you for its own purposes, such as your account and sign-in details, is handled under our Privacy Policy. Where the two conflict on the processing of personal data in your content, the Data Processing Agreement prevails.

AI-assisted features, recommendations, summaries, classifications, and generated output are provided for operational assistance only and do not constitute financial, legal, tax, procurement, or cloud-operations advice. You remain solely responsible for reviewing and validating all outputs before relying on them or using them to make operational, financial, or technical decisions.

7. Intellectual Property, License, and Feedback

Varcio and its licensors retain all rights, title, and interest in and to the service, software, workflows, documentation, trade names, marks, visual design, and related intellectual property, excluding customer data and other materials lawfully provided by you.

Subject to these Terms and payment of applicable fees, Varcio grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business purposes during the applicable subscription term. If you submit feedback, ideas, enhancement requests, or suggestions, you grant Varcio a perpetual, worldwide, royalty-free right to use such feedback for any lawful product or service purpose without further consent or compensation.

8. Availability, Suspension, and Termination

Varcio may modify, enhance, replace, limit, or discontinue features from time to time. We may suspend, restrict, or terminate access, in whole or in part, where reasonably necessary to prevent fraud, address misuse, protect customers, comply with legal or regulatory obligations, enforce these Terms, or preserve the security, availability, or integrity of the service.

You may stop using the service at any time. Termination or cancellation of paid subscriptions remains subject to the applicable cancellation and refund rules and any stricter provisions stated in a written order, invoice-backed agreement, or enterprise contract.

9. Disclaimers

Except to the extent expressly stated in a signed written agreement, the service is provided on an as is and as available basis. To the fullest extent permitted by applicable law, Varcio disclaims all warranties, representations, and conditions of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted availability, error-free operation, and results obtained from use of the service.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Varcio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business interruption, or procurement of substitute services, arising out of or relating to the service or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, the aggregate liability of Varcio arising out of or relating to the service or these Terms shall not exceed the fees paid by the customer for the affected subscription during the twelve-month period immediately preceding the event giving rise to the claim, unless a signed written agreement expressly states otherwise.

11. Amendments and Contact

Varcio may amend these Terms from time to time in order to reflect changes in the service, applicable law, billing operations, product structure, security requirements, or business practice. The revised version becomes effective when posted on this website unless a later effective date is expressly stated.

  • Cloud-provider usage and infrastructure charges remain billed by the relevant cloud provider.
  • If a signed order form, MSA, or enterprise agreement exists, that document controls over these public pages to the extent of any conflict.
